MINC Board Election Rules and Procedures

0. Electorate
-------------
    Every Large Organization Member, Medium Organization Member and Small
    Organization Member has right to vote.  Each voter has the right to
    cast one ballot.

1.  Numbers of Board members to elect
-------------------------------------
    Nine(9) individuals shall be elected, of whom five(5) with largest
    number of votes shall have two-year terms, while the other four(4)
    shall have a one-year term.  In the event of a tie in determining
    the five(5) with largest number of votes, a run-off election shall
    be held pursuant to the provisions of Articles 4.3 through 4.5.

2.  Notation
-------------
    For sake of generality, special symbol "x" is used instead of
    nine(9).  In the following provisions, symbol "x" shall be used to
    mean nine(9).  This notation enables this rule applicable to
    possible run-offs by substituting "x" with the number of remaining
    seats, or future elections to fill vacancies of the Board by
    substituting "x" with the number of vacancies.

3.   Nomination of candidates
----------------------------
3.1 Every member has the right to nominate up to x individuals as
    candidates for Board members.

3.2 Nomination shall be made using the specified form(the "Nomination
    Form").

3.3 Every nominee has to get at least one support using the specified
    form(the "Support form").

3.4 Every member can support up to 9 nominees.

3.5 Each nominee shall send statement of acceptance of nomination
    using the specified form(the "Acceptance Form") in order to be a
    candidate for a Board member.

3.6 Nominations, support for nomination, and statements of acceptance
    of nominations shall be submitted to a specified address(the
    "Nomination address") within nomination period described in the
    "MINC Board Election Schedule".  During the nomination period, MINC
    web site shall provide up-to-date information about those submitted
    to the address.

3.7 After termination of the nomination period, the Election committee
    shall decide valid nominations, publishes the list of official nominee
    candidates, and distributes ballots to electorate.

4 Vote
------

4.1 The Election committee shall distribute ballots which have the
    list of candidates.  Each voter marks up to x persons from the list
    of candidates and submits to a specified address(the "Voting
    address").  If more than x persons are marked, then the ballot
    shall be invalidated.  Ballots shall be kept secret.  It shall be
    saved into a web site URL specific to the voter in order to enable
    the voter to check the ballot he/she has cast.  The Election
    Committee shall send back an email to the voter for verification.

4.2 Top x vote getters will be determined as winners.

4.3 In case of tie and can not determine precisely x winners, the
    Election Committee shall first decide as winners those candidates
    who got more votes than those tie candidates, and then operates
    a run-off to decide remaining seats.

4.4 Those tie candidates shall be entitled to be candidates for the
    run-off, although any of them shall be given a chance to decline.
    In the run-off, section 4 of this election rule shall be applied by
    substituting x by the number of remaining seats.

4.5 The election period for the run-off shall be announced by the
    Election Committee.  The period for declining, at least three(3)
    days long, shall be declared in the announcement.

5. The Election Committee
-------------------------

5.1 The Election Committee shall operate the full election process
    with fairness.  It shall keep neutral position to every nominee.

5.2 In case one of the Election Committee members are nominated for
    a Board member, he/she should resign the Committee in order to accept
    the nomination.  In case he/she accept the nomination, he/she shall
    be deemed to have resigned the Committee.

6. Inaugural Elections
----------------------

    Notwithstanding the provisions of Article 0, in the inaugural
    election only, all Founding Members shall have the right to vote.
